We are a specialist and boutique company secretarial and corporate governance advisory firm that has been in business for over 20 years. We act as outsourced company secretary to numerous companies, including JSE listed companies.
What we provide
We provide an end-to-end service, from basic CIPC matters to very advanced corporate governance advice, board and committee meeting support (agendas, minutes and compliance) is one of our specialist areas, where we don’t just act as minute takers but add value as and when required.

Karen Waldeck-Kruger
Attorney LLB (UJ)
Karen Waldeck-Kruger is an experienced company secretary and admitted attorney of the High Court of South Africa.
After obtaining her LLB degree at the University of Johannesburg, she completed articles of clerkship at Derek Mazaham Attorneys, an established law firm based in Parktown North. She further attended the full time practical legal training course at the School for Legal Practice and participated in the Webber Wentzel Student Vacation Programme.
In her years as company secretary, she completed a course on Administration Company Secretarial Practice and Corporate Governance. Karen enrolled for a Master of Law (LLM), specialising in Corporate Law and successfully completed all the required subjects for the degree (Company Law, Corporate Finance Law and Securities and Financial Markets Law). In 2016, she attended Advanced Company Law I and II on the Companies Act 71 of 2008 at Wits which was headed by Prof. Michael Katz.
Elise Waldeck
Diploma in Corporate Law (RAU)
Elise Waldeck established CorpStat Governance Services in 2001, providing company secretarial services, company statutory audits and CIPC lodgements. She completed a post-graduate Diploma in Corporate Law at RAU, now UJ, in 2003 and attended the Advanced Company Law I and II Certificate course under Prof Michael Katz on the Companies Act, 71 of 2008, at Wits in 2012.
Her expertise lies with governance advisory and compliance in accordance with King IV and the Companies Act 71 of 2008. She has vast knowledge on share structures, the reorganising thereof, implementing subscription and shareholder agreements, the drafting of board and shareholder resolutions and meeting administration. Elise is a regular speaker at seminars and provides various training courses on related topics in this field, including one-on-one individual training. She is also a JSE accredited trainer in Company Secretarial Practice and Corporate Governance.
William Somerville
FCIS, ACMA and a Diploma in Corporate Law (RAU)
William Somerville is a qualified chartered secretary and holds an FCIS, ACMA and a Diploma in Corporate Law (RAU).
He was formerly Group Company Secretary of Absa, a position he held for 12 years until October 2007. He has over 30 years’ experience in company secretarial and corporate governance matters. This includes providing support to the board of directors and committees, corporate governance advice, annual reports and director orientation and training and board evaluations. He has experience in the JSE Listings Requirements as well as knowledge of employee share schemes and BEE schemes.
He is a member of the IoDSA, a member of the Chartered Governance Institute’s Technical Committee, a member of the JSE’s Company Secretary Forum and was formerly the JSE’s accredited trainer in Company Secretarial Practice and Corporate Governance. He served on the IoDSA’s Board Appraisal Panel for 8 years until 2018.
Bruce Allardyce
BCompt FMVA AGA (SA)
Bruce Allardyce is a finance professional with over 19 years’ experience in finance, governance, and company secretarial-related matters from the level of SMMEs up to listed companies. He has had exposure to numerous industries and has had experience with foreign listing statutory filings and reports. He has completed his Bachelor of Accounting Science degree, Certificate of Proficiency (Insurance Institute of South Africa) and holds a diploma in public relations and journalism. He has also obtained the accreditation of FMVA from the Corporate Finance Institute (Canada) and has been accredited by the South African Institute of Chartered Accountants (SAICA) as an AGA (SA).
Zak Opperman
Zak Opperman joined CorpStat Governance Services in 2003 and has gained great experience in the company secretarial field over the past 19 years.
He has attended various seminars relating to the duties of the Company Secretary and secretarial practices.
He is experienced in CIPC lodgements, secretarial audits and secretarial support. Zak specialises in share transactions such as the total reorganisation of share structures, share buy-backs, allotments, redemptions and the implementation of shareholders’ agreements.
His experience has mainly been focused on the Companies Act 71 of 2008.
Mignon Vermeulen
Mignon Vermeulen has been elected as an Associate of The Chartered Governance Institute of Southern Africa. Mignon started her career at a JSE listed entity where she gained 11 years of experience on JSE Listing requirements, business transactions/restructures (disposals, acquisitions, sale of business), shares (allotment, issuance, buy-backs, treasury shares etc), corporate governance advisory and board support services for listed, private and public companies, trusts etc.
She is able to assist with meeting administration, governance and statutory advisory and compliance in accordance with King IV, JSE Listing Requirements and the Companies Act 71 of 2008.
Cecilia de Villiers
Cecilia de Villiers started working in the industry in 2015 and joined our team in 2020. She is currently busy with her CIS qualification at the Chartered Secretaries of South Africa (CSSA).
She is experienced in the preparation and submission of various statutory filings at CIPC, drafting of board/shareholders’ resolutions and providing board meeting support. Cecilia is adept at embedding processes.
Alta Vorster
Alta Vorster joined our team in 2006 and has gained great experience in the company secretarial field over the years. She is experienced in filing of necessary forms with CIPC, record keeping of company secretarial documents in order to comply with the Companies Act, statutory audits and reconstruction of incomplete statutory records, including computerisation. Her main focus is providing back-office support where needed.
Thembi Gule
Thembi Gule holds a BA degree in Psychology, a diploma in business writing and is currently a student at GCISA. She is skilled in providing company secretarial support. Has experience in management of committee and board meetings planning, preparation, and minute taking. Providing support to the board of a listed entity. Management of statutory audits/CIPC changes and annual returns/trust registrations and amendments. Proven track record to build productive relationships. Thembi has experience in both the private and public sectors.
Suzanne van Tonder
Suzanne van Tonder has gained great experience in the company secretarial field since she joined Corpstat in 2011. She completed a BA Honours Degree in Psychology in 2019. She is experienced in the preparation and submission of various statutory filings at CIPC, drafting of board resolutions, share transfers and fulfilling of administrative duties.
Nicola Manduna
BCompt Law (UJ)
Nicola Manduna holds a Bachelor of Commerce in Law degree from the University of Johannesburg. She is currently completing her board exams to become an admitted Chartered Secretary with the Chartered Governance Institute of Southern Africa. Prior to joining CorpStat, Nicola started her career in the Legal and Compliance department at Shell Downstream South Africa. She has experience in providing high level end to end secretarial administrative support; CIPC lodgement preparation; Board and Committee meeting planning and preparation, minute-taking and drafting of resolutions.
